Terms and Conditions

These terms govern your use of services provided by IT Veins LLC. By engaging IT Veins LLC for any service, you agree to the terms described on this page. Please read them carefully before proceeding with any project.
1. About IT Veins LLC
IT Veins LLC is a software and digital services company. We design and build booking systems, automation workflows, custom web applications, mobile applications, GoHighLevel CRM setups, digital marketing campaigns, SEO programs, and AI SEO optimization for businesses that want clearer operations and better results from their digital presence.
Our registered business name is IT Veins LLC. When these terms say "IT Veins," "we," "us," or "our," they refer to IT Veins LLC. When they say "you" or "client," they refer to the individual or company that has engaged IT Veins LLC for services.
2. Scope of Services
IT Veins LLC provides the following categories of services:
- Custom software development, including web applications and mobile applications
- Booking and scheduling systems for service businesses
- Automation workflows covering SMS, email, CRM, and internal notifications
- Third-party integrations connecting payments, scheduling, marketing, and accounting platforms
- GoHighLevel CRM setup, pipeline configuration, and sales automation
- Digital marketing including paid advertising and lead generation
- Search engine optimization covering on-page, technical, and off-page work
- AI SEO optimization including semantic structuring, entity-based content, and answer targeting
The exact scope of any engagement is defined in a separate project agreement, proposal, or statement of work agreed to in writing before work begins. These terms apply alongside that agreement.
3. Client Responsibilities
You agree to the following responsibilities when working with IT Veins LLC:
- Provide accurate, complete, and timely information required to complete your project.
- Respond to questions, review requests, and approval requests within the timeframes agreed in the project schedule. Delays caused by late responses may push delivery dates and are not the responsibility of IT Veins LLC.
- Provide access to accounts, platforms, or credentials needed for the work, and ensure you have the right to provide that access.
- Use all deliverables, systems, and outputs produced by IT Veins LLC in compliance with applicable laws and regulations in your jurisdiction.
- Not use any work produced by IT Veins LLC to facilitate spam, fraud, harassment, or any illegal activity.
4. Payment Terms
Payment terms are specified in the project proposal or statement of work. The following general terms apply unless a separate agreement states otherwise.
- Projects typically require a deposit before work begins. The deposit amount is stated in the project proposal.
- Remaining balances are due at milestones or on project completion as defined in the proposal.
- Invoices are due within 7 calendar days of the invoice date unless a different term is agreed in writing.
- IT Veins LLC reserves the right to pause or stop work on any project where payment is overdue by more than 7 days.
- All prices are in US Dollars unless stated otherwise in writing. Applicable taxes are the responsibility of the client where required by law.
5. Project Timelines and Delivery
Estimated timelines are provided in the project proposal. These estimates are made in good faith based on the information available at the time. The following applies to all projects:
- Timelines assume timely client responses, feedback, and approvals. Delays on the client side will extend delivery dates accordingly.
- IT Veins LLC will communicate proactively if a timeline change becomes necessary due to scope changes, technical complexity, or other factors.
- Delivery dates are not guarantees unless explicitly stated as binding commitments in a signed agreement.
- IT Veins LLC is not liable for missed deadlines caused by third-party service outages, platform changes, or factors outside our reasonable control.
6. Revisions and Scope
The number of included revision rounds is stated in the project proposal. Revisions are defined as changes to previously approved work within the originally agreed scope.
- Requests that change the scope, add features, or alter the original brief constitute new work and will be scoped and priced separately.
- IT Veins LLC will notify you in writing before proceeding with any out-of-scope work that carries additional cost.
- Once a deliverable has been approved by the client in writing, further changes to that deliverable will be treated as new scope.
7. Intellectual Property
Upon receipt of full payment for a project, IT Veins LLC assigns to the client all intellectual property rights in the custom deliverables created specifically for that client under the project agreement.
The following do not transfer to the client under any circumstances:
- Proprietary frameworks, libraries, or tools developed by IT Veins LLC prior to or outside of the project
- Open-source components used in the work, which remain under their respective licenses
- Methodologies, processes, and general knowledge held by IT Veins LLC staff
IT Veins LLC retains the right to reference the project in case studies and portfolio materials unless the client requests otherwise in writing before the project begins.
8. Limitation of Liability
IT Veins LLC will perform all work with reasonable care and skill. To the fullest extent permitted by applicable law:
- IT Veins LLC is not liable for indirect, incidental, consequential, or special damages including lost revenue, lost data, or business interruption.
- Our total liability for any claim arising from a project will not exceed the total fees paid by the client for that specific project.
- IT Veins LLC is not responsible for issues arising from third-party platforms, API changes, hosting providers, or browser or device behavior outside our control.
9. Termination
Either party may terminate a project engagement with written notice. The following applies on termination:
- All work completed up to the termination date is billable at the agreed rate or as pro-rated against the project fee.
- Deposits and payments for completed milestones are non-refundable.
- IT Veins LLC will deliver all completed work and assets to the client within 14 calendar days of receiving full payment for work done.
- IT Veins LLC reserves the right to terminate immediately and without refund if the client violates these terms, engages in abusive conduct, or requests work that is illegal.
10. Governing Law
These terms are governed by and construed in accordance with applicable law. Any disputes that cannot be resolved through direct communication will be handled through good-faith mediation before any legal proceedings are initiated. Both parties agree to attempt resolution through direct discussion first.
